Martin is an attorney whose practice has focused on representing public companies, private organizations, and entrepreneurs in commercial transactions, on business formation and reorganization issues, and in federal and state tax matters. Currently, Martin is Vice President and Exchange Counsel with Investment Property Exchange Services, Inc. where he is responsible for structuring complex real estate, personal property, and muli-asset exchange transactions for institutional clients, entrepreneurs, and personal investors.

As a former vice president and corporate counsel to both a private finance company and to a Fortune 100 banking institution, Martin brings first hand knowledge and experience on how financial services companies structure deals, respond to compliance and regulatory issues, and allocate resources in this competitive financial market. Having worked both in private practice and in-house, Martin provides accurate and efficient legal and business advice to his clients.

Martin attended Indiana University Maurer School of Law where he served as the Operations Editor of the Indiana Journal of Global Legal Studies and from where he graduated cum laude in 2000. Martin also attended Indiana University as an undergraduate where he was active in student and local politics and worked for a number of technology companies providing customer support and strategic planning services.

Representative Transactions:

  • Negotiated and drafted a $40M Energy Services Performance Contract syndication package between a national leader in energy efficiency and energy infrastructure solutions and a Fortune 100 life insurance company.
  • Assisted a privately held Real Estate Investment Trust in exchanging a portfolio of over $1B in real estate assets.
  • Facilited a $20M ESPC transaction between a premier energy service company and a Fortune 500 financial services company.
  • Renegotiated the information technology services contract for a private financial services company in order to comply with internal compliance and redundancy concerns.
  • Represented a private real estate development company in the tax-efficient structuring of a mixed used development project in order to take advantage of preferable capital gains tax treatment on the original investment.
  • Assisted a privately held media company to exchange a $25M corporate aircraft.
